General Terms and Conditions
Den danske version udgør den juridisk gældende version af disse generelle vilkår og betingelser.
1. Anvendelse
Disse betingelser gælder for alle tilbud, ordrer og leverancer fra CemeCon Scandinavia A/S (“CemeCon”), medmindre andet er skriftligt aftalt.
Kundens egne betingelser finder ikke anvendelse, medmindre de udtrykkeligt er accepteret skriftligt.
Disse betingelser udgør det samlede aftalegrundlag. Fravigelser af disse betingelser er kun gyldige, såfremt de foreligger i en skriftlig aftale underskrevet af begge parter.
CemeCon bevarer alle rettigheder til egne processer, metoder, know-how og tekniske løsninger, uanset om disse anvendes i forbindelse med den konkrete opgave.
Kunden opnår ingen rettigheder til CemeCons tekniske løsninger, processer eller know-how.
2. Tilbud og ordre
Tilbud er baseret på de oplysninger, kunden har givet.
Ordren anses først for endeligt accepteret, når CemeCon påbegynder arbejdet eller fremsender en Order Confirmation eller anden skriftlig accept.
Kunden er ansvarlig for, at alle relevante specifikationer, tegninger og krav er korrekte og fuldstændige. CemeCon er ikke ansvarlig for fejl, der skyldes mangelfuld eller ukorrekt dokumentation.
Ændringer i ordregrundlaget efter ordreafgivelse kan medføre ændringer i pris og leveringstid.
3. Emnernes tilstand
Alle emner behandles i den stand, hvori de modtages.
Det forudsættes, at emnerne er egnede til den aftalte behandling og leveres i behandlingsklar stand.
CemeCon er ikke ansvarlig for fejl, skader eller mangler, der skyldes:
- emnernes materiale, konstruktion eller tidligere anvendelse
- forurening, rust, belægninger, propper eller fremmedlegemer
- utilstrækkelig eller forkert forbehandling
- mangelfulde eller urigtige oplysninger fra kunden
4. Ekstraarbejde
Såfremt emnerne ikke er i behandlingsklar stand, forbeholder CemeCon sig ret til:
- at udføre nødvendigt ekstraarbejde mod tillæg
- at fremsende nyt tilbud
- at lade arbejde udføre hos tredjepart
- eller at afvise/returnere emnerne
Ekstraarbejde kan omfatte, men er ikke begrænset til, rensning, afrensning, fjernelse af propper eller anden nødvendig forberedelse.
CemeCon er berettiget til at anvende kvalificerede underleverandører til udførelse af hele eller dele af opgaven. CemeCon er ansvarlig for, at sådanne underleverandører er underlagt passende fortrolighedsforpligtelser.
5. Pris
Priser er baseret på tilbud og forudsætter, at emner leveres i behandlingsklar stand.
Ændringer i mængde, tilstand eller specifikation kan medføre prisjustering.
Ved manglende betaling af forfaldne fakturaer er CemeCon berettiget til at standse igangværende arbejde og afvise nye ordrer, indtil betaling har fundet sted.
CemeCon er endvidere berettiget til at kræve forudbetaling eller sikkerhedsstillelse ved fremtidige leverancer.
6. Leveringstid
Leveringstider er vejledende og beregnes fra den arbejdsdag, hvor emnerne er modtaget, registreret og vurderet af CemeCon. Emner, der modtages uden for normal åbningstid eller så sent på en arbejdsdag, at registrering og indledende vurdering ikke med rimelighed kan gennemføres samme dag, anses for modtaget den efterfølgende arbejdsdag.
Ved beregning af leveringstider medregnes alene CemeCons normale arbejdsdage. Danske helligdage samt CemeCons offentliggjorte lukkedage medregnes ikke. Gældende åbningstider og lukkedage fremgår af CemeCons hjemmeside.
Forsinkelser, som skyldes emnernes tilstand, ekstraarbejde eller forhold på kundens side, medfører en tilsvarende forlængelse af leveringstiden.
Forsinkelse giver ikke ret til erstatning.
CemeCon er berettiget til at foretage delleverancer.
Såfremt færdigbehandlede emner ikke kan leveres eller modtages rettidigt af kunden efter meddelelse om færdiggørelse, er CemeCon berettiget til at opkræve lagerleje efter CemeCons til enhver tid gældende satser.
Såfremt emnerne fortsat ikke er afhentet eller kan leveres inden 90 dage efter meddelelse om færdiggørelse, er CemeCon berettiget til efter skriftligt varsel at bortskaffe emnerne for kundens regning og risiko.
7. Risiko og transport
Kunden er ansvarlig for transport af emner til CemeCon, herunder korrekt emballering og sikring af emnerne.
CemeCon sender som udgangspunkt emnerne retur til kunden, medmindre andet er aftalt.
For den konkrete ordre gælder den aftalte leveringsklausul og den dermed forbundne risikoovergang. Såfremt der ikke udtrykkeligt er aftalt andet, vælger CemeCon transportør og transportform efter eget skøn. Såfremt kunden ønsker anvendelse af anden transportør eller særlige transportvilkår, er CemeCon berettiget til at fakturere de hermed forbundne meromkostninger og administrative omkostninger.
CemeCon kan tegne transportforsikring i forbindelse med transport, men dette udvider ikke CemeCons ansvar ud over, hvad der følger af den aftalte leveringsklausul og disse betingelser.
Ved transportskader eller bortkomst skal kunden uden ugrundet ophold kontakte CemeCon. CemeCon håndterer herefter sagen over for transportør og/eller forsikring. CemeCon hæfter ikke for transportskader ud over, hvad der dækkes af transportør eller relevant forsikring.
For kunder uden for EU gælder, at kunden er ansvarlig for korrekt udfærdigelse af eksport-, import- og tolddokumentation.
Emner, der sendes til CemeCon med henblik på overfladebehandling og efterfølgende returnering, kan være omfattet af særlige toldprocedurer, herunder aktiv forædling. Kunden skal derfor kontakte CemeCon inden afsendelse af emner fra lande uden for EU med henblik på modtagelse af de nødvendige instruktioner og oplysninger vedrørende forsendelse, toldbehandling og dokumentation.
Omkostninger, forsinkelser, afgifter, gebyrer eller bøder, der skyldes mangelfuld, urigtig eller manglende dokumentation fra kundens side, kan viderefaktureres til kunden.
Såfremt CemeCon må anvende væsentlig ekstra tid på håndtering af told- eller importforhold som følge af kundens forhold, er CemeCon berettiget til at fakturere den medgåede tid efter gældende timesatser.
8. Force majeure
CemeCon er ikke ansvarlig for manglende eller forsinket opfyldelse, der skyldes force majeure eller forhold uden for CemeCons rimelige kontrol, herunder men ikke begrænset til driftsforstyrrelser, maskinnedbrud, leverandørsvigt, arbejdskonflikter, transportforstyrrelser eller myndighedsindgreb.
I sådanne tilfælde er CemeCon berettiget til at udskyde levering eller annullere ordren uden ansvar.
9. Ansvar og bevisbyrde
CemeCon er ikke ansvarlig for fejl, der udspringer af emnernes tilstand før behandling.
Det påhviler kunden at dokumentere, at en eventuel fejl eller mangel skyldes CemeCons behandling.
CemeCon er under ingen omstændigheder ansvarlig for:
- driftstab
- tabt avance
- indirekte tab eller følgeskader
CemeCons samlede ansvar er i alle tilfælde begrænset til det fakturerede beløb for den pågældende ordre.
CemeCon er alene ansvarlig for skade på emner, i det omfang det dokumenteres, at skaden er forårsaget ved væsentlig fejl eller forsømmelse fra CemeCons side under behandlingen.
Ansvarsbegrænsningen gælder dog ikke i det omfang andet følger af ufravigelig lovgivning.
10. Egenskaber og anvendelse
CemeCon udfører belægningen i overensstemmelse med de aftalte specifikationer og den kvalitetskontrol, der er aftalt mellem parterne.
Sådanne egenskaber forudsætter, at emnerne er egnede til behandling og anvendes under normale og forudsatte driftsforhold.
CemeCon garanterer ikke levetid, slidstyrke eller performance i den konkrete anvendelse, da dette afhænger af forhold uden for CemeCons kontrol.
Der ydes ingen garanti for egnethed til et bestemt formål.
Kunden er ansvarlig for, at emnerne og deres anvendelse overholder gældende lovgivning.
Kunden er ansvarlig for at vurdere og validere emnernes og belægningens egnethed til den konkrete anvendelse.
Oplysninger, anbefalinger, testresultater, tidligere leverancer eller teknisk rådgivning fra CemeCon udgør ikke garanti for opnåelse af bestemte resultater i kundens produktion eller anvendelse.
11. Rådgivning
Rådgivning om valg og anvendelse af belægninger gives på baggrund af erfaring og tilgængelige oplysninger.
Rådgivning er vejledende og uden garanti for resultat.
Kunden er selv ansvarlig for den endelige anvendelse.
12. Udviklingsopgaver
Udviklings- og forsøgsopgaver udføres som “best effort” og uden garanti for opnåelse af specifikke resultater.
Medmindre andet er skriftligt aftalt, overdrages ingen immaterielle rettigheder til kunden.
13. Reklamation
Kunden skal undersøge emnerne straks efter levering.
Reklamation over synlige fejl eller mangler skal ske skriftligt senest 5 arbejdsdage efter levering.
Reklamation over fejl eller mangler, som ikke med rimelighed kunne konstateres ved den indledende undersøgelse, skal fremsættes skriftligt uden ugrundet ophold efter, at fejlen er eller burde være opdaget, og senest 6 måneder efter levering.
Manglende rettidig reklamation medfører, at leverancen anses for godkendt, og kunden fortaber retten til at gøre manglen gældende.
14. Tolerancer og variation
Mindre variationer og enkelte afvigelser i belægningen kan forekomme som led i processen og anses ikke som fejl, såfremt den overordnede funktion og anvendelighed ikke påvirkes væsentligt.
For hver enkelt leverance anses op til 2 afvigende emner pr. påbegyndte 100 leverede emner som en sædvanlig procestolerance og udgør ikke en mangel.
Emner med afvigelser inden for denne tolerance berettiger ikke kunden til erstatning eller andre misligholdelsesbeføjelser.
Reklamationer skal vurderes i forhold til den samlede leverance og ikke på baggrund af enkeltstående emner.
Ved vurdering af reklamationer skal der tages hensyn til emnernes tilstand, geometri, materiale, overfladekvalitet og øvrige forhold, som kan påvirke resultatet af behandlingen.
15. Udbedring
Ved berettiget reklamation er CemeCon berettiget til efter eget valg:
- at udbedre arbejdet
- eller at genbehandle eller omlevere emnerne
Kunden kan ikke gøre andre misligholdelsesbeføjelser gældende.
CemeCon hæfter ikke for omkostninger til demontering, montering, produktionsstop, sortering, transportomkostninger eller andre følgeomkostninger i forbindelse med en reklamation.
16. Ret til at afvise arbejde
CemeCon forbeholder sig ret til at afvise emner, som vurderes uegnede til behandling.
17. Fortrolighed
Parterne forpligter sig til at behandle alle tekniske, kommercielle og øvrige fortrolige oplysninger, som modtages i forbindelse med samarbejdet, fortroligt og alene anvende oplysningerne i forbindelse med samarbejdet mellem parterne. Oplysningerne må ikke videregives til tredjemand uden den anden parts forudgående skriftlige samtykke, medmindre dette er nødvendigt for aftalens opfyldelse ved anvendelse af underleverandører eller følger af lov eller myndighedskrav.
Fortrolighedsforpligtelsen gælder ikke oplysninger, som er offentligt kendte, lovligt modtaget fra tredjemand uden fortrolighedsforpligtelse eller udviklet uafhængigt af de modtagne oplysninger.
Såfremt parterne har indgået en særskilt fortrolighedsaftale (NDA), har denne forrang for nærværende bestemmelse.
18. Lovvalg og værneting
Enhver tvist afgøres efter dansk ret ved de danske domstole med værneting i Aarhus.

1. Application
These General Terms and Conditions apply to all quotations, orders and deliveries provided by CemeCon Scandinavia A/S (“CemeCon”), unless otherwise expressly agreed in writing.
Any terms and conditions of the Customer shall not apply unless expressly accepted by CemeCon in writing.
These General Terms and Conditions constitute the entire contractual basis between the parties. Any deviations shall only be valid if agreed in writing by both parties.
CemeCon retains all rights to its own processes, methods, know-how and technical solutions, irrespective of whether these are used in connection with a particular order.
The Customer acquires no rights whatsoever to CemeCon’s technical solutions, processes or know-how.
2. Quotations and Orders
Quotations are based on the information provided by the Customer.
An order shall only be deemed finally accepted when CemeCon has commenced the work or has issued an Order Confirmation or other written acceptance.
The Customer is responsible for ensuring that all specifications, drawings and other requirements are complete and correct. CemeCon shall not be liable for errors resulting from incomplete or incorrect documentation supplied by the Customer.
Changes to the scope of the order after placement may result in adjustments to price and delivery time.
3. Condition of Parts
All parts are processed in the condition in which they are received by CemeCon.
It is assumed that the parts are suitable for the agreed treatment and are supplied in a condition ready for processing.
CemeCon shall not be liable for defects, damage or non-conformities resulting from:
- the material, design or previous use of the parts;
- contamination, corrosion, existing coatings, plugs or foreign matter;
- inadequate or incorrect pre-treatment;
- incomplete or incorrect information provided by the Customer.
4. Additional Work
If the parts are not supplied in a condition suitable for processing, CemeCon reserves the right to:
- carry out any necessary additional work at additional cost;
- submit a revised quotation;
- have work performed by a qualified subcontractor; or
- reject or return the parts.
Additional work may include, but is not limited to, cleaning, stripping, removal of plugs or any other preparation necessary for processing.
CemeCon may engage qualified subcontractors to perform all or part of the work. CemeCon shall ensure that such subcontractors are bound by appropriate confidentiality obligations.
5. Prices
Prices are based on the quotation and assume that the parts are supplied in a condition suitable for processing.
Changes in quantity, condition or specification of the parts may result in price adjustments.
If payment of overdue invoices is not made, CemeCon is entitled to suspend ongoing work and refuse to accept further orders until payment has been received.
CemeCon is furthermore entitled to require advance payment or appropriate security for future deliveries.
6. Delivery Time
Delivery times are estimates only and are calculated from the working day on which the parts have been received, registered and assessed by CemeCon. Parts received outside normal business hours, or so late on a working day that registration and initial assessment cannot reasonably be completed on the same day, shall be deemed received on the following working day.
Only CemeCon’s normal working days shall be taken into account when calculating delivery times. Danish public holidays and CemeCon’s published company closure days shall not be included. Current opening hours and planned closure days are available on CemeCon’s website.
Delays resulting from the condition of the parts, additional work or other circumstances attributable to the Customer shall result in a corresponding extension of the delivery time.
Delay shall not entitle the Customer to claim compensation.
CemeCon is entitled to make partial deliveries.
If completed parts cannot be delivered to, or accepted by, the Customer following notification that the work has been completed, CemeCon shall be entitled to charge storage fees in accordance with CemeCon’s current rates.
If the parts have not been collected, or cannot be delivered due to circumstances attributable to the Customer, within 90 days after notification of completion, CemeCon shall be entitled, after prior written notice, to dispose of the parts at the Customer’s risk and expense.
7. Risk and Transport
The Customer is responsible for the transport of the parts to CemeCon, including proper packaging and securing of the parts.
Unless otherwise agreed, CemeCon will return the parts to the Customer after completion of the agreed work.
The agreed Incoterms and the corresponding transfer of risk shall apply to each order. Unless otherwise expressly agreed, CemeCon shall determine the carrier and method of transport at its own discretion. If the Customer requests a specific carrier or special transport arrangements, CemeCon shall be entitled to invoice the resulting additional costs and administrative expenses.
CemeCon may arrange transport insurance for the shipment. Such insurance shall not extend CemeCon’s liability beyond that provided under the agreed Incoterms and these General Terms and Conditions.
In the event of transport damage or loss, the Customer shall notify CemeCon without undue delay. CemeCon will thereafter handle the claim with the carrier and/or the insurance provider. CemeCon shall not be liable for transport damage beyond the amount recoverable from the carrier or the applicable insurance.
For Customers outside the European Union, the Customer is responsible for the correct preparation of all export, import and customs documentation.
Parts sent to CemeCon for surface treatment and subsequent return shipment may be subject to special customs procedures, including inward processing relief. Customers outside the European Union shall therefore contact CemeCon before dispatching parts in order to obtain the necessary instructions regarding shipment, customs clearance and documentation.
Any costs, delays, duties, fees or penalties resulting from incomplete, incorrect or missing documentation provided by the Customer may be re-invoiced to the Customer.
Where CemeCon is required to spend significant additional time handling customs or import matters due to circumstances attributable to the Customer, CemeCon shall be entitled to charge for such work at its current hourly rates.
8. Force Majeure
CemeCon shall not be liable for any failure or delay in performing its obligations where such failure or delay results from force majeure or circumstances beyond CemeCon’s reasonable control, including, but not limited to, operational disruptions, equipment failure, supplier failure, labour disputes, transport disruptions or actions by public authorities.
In such circumstances, CemeCon shall be entitled to postpone delivery or cancel the order without liability.
9. Liability and Burden of Proof
CemeCon shall not be liable for defects arising from the condition of the parts prior to processing.
The Customer bears the burden of proving that any alleged defect or non-conformity results from CemeCon’s processing.
Under no circumstances shall CemeCon be liable for:
- loss of production;
- loss of profit;
- indirect or consequential losses.
CemeCon’s total liability shall in all circumstances be limited to the invoiced value of the relevant order.
CemeCon shall only be liable for damage to the parts where it is demonstrated that such damage was caused by material negligence or wilful misconduct on the part of CemeCon during processing.
This limitation of liability shall not apply to the extent otherwise required by mandatory law.
10. Properties and Use
CemeCon shall carry out the surface treatment in accordance with the agreed specifications and the quality control agreed between the parties.
The agreed properties are subject to the parts being suitable for processing and used under normal and intended operating conditions.
CemeCon does not guarantee service life, wear resistance or performance in the Customer’s specific application, as these depend on factors beyond CemeCon’s control.
No warranty is given that the treatment is fit for any particular purpose.
The Customer is responsible for ensuring that the parts and their intended use comply with applicable legislation.
The Customer is responsible for assessing and validating the suitability of both the parts and the surface treatment for the intended application.
Information, recommendations, test results, previous deliveries or technical advice provided by CemeCon shall not constitute a guarantee that specific results will be achieved in the Customer’s production or application.
11. Technical Advice
Advice regarding the selection and use of surface treatments is provided on the basis of CemeCon’s experience and the information available at the time.
Any such advice is provided for guidance only and without guarantee of any particular result.
The Customer remains solely responsible for the final application of the treated parts.
12. Development Projects
Development and trial projects are carried out on a best-efforts basis. No specific result or defined outcome is guaranteed.
Unless otherwise expressly agreed in writing, no intellectual property rights shall be transferred to the Customer.
13. Complaints
The Customer shall inspect the parts immediately upon delivery.
Complaints regarding visible defects or non-conformities must be submitted in writing no later than five (5) working days after delivery.
Complaints regarding defects or non-conformities that could not reasonably have been discovered during the initial inspection must be submitted in writing without undue delay after the defect has been, or ought reasonably to have been, discovered, and in any event no later than six (6) months after delivery.
Failure to submit a complaint within the applicable time limits shall constitute acceptance of the delivery, and the Customer shall forfeit the right to rely on the alleged defect or non-conformity.
14. Tolerances and Variations
Minor variations and isolated irregularities in the surface treatment that are inherent to the process and do not materially affect the overall function or usability of the parts shall not constitute defects.
For each individual delivery, a tolerance of up to two (2) non-conforming parts per one hundred (100) delivered parts shall be considered acceptable.
Parts falling within this tolerance shall not entitle the Customer to compensation or any other remedies for breach.
Complaints shall be assessed in relation to the delivery as a whole and not on the basis of individual parts.
When assessing a complaint, due consideration shall be given to the condition, geometry, material, surface quality and any other factors that may influence the outcome of the processing.
15. Remedies
In the event of a justified complaint, CemeCon shall, at its sole discretion, be entitled to:
- remedy the work; or
- reprocess the parts.
The Customer shall not be entitled to assert any other remedies for breach.
CemeCon shall not be liable for costs relating to dismantling, reassembly, production downtime, sorting, transportation or any other consequential costs arising from a complaint.
16. Right to Reject Work
CemeCon reserves the right to reject parts which, in CemeCon’s opinion, are unsuitable for the requested processing.
17. Confidentiality
Each party shall treat all technical, commercial and other confidential information received from the other party in connection with the cooperation as confidential and shall use such information solely for the purpose of the cooperation.
Neither party may disclose such confidential information to any third party without the prior written consent of the other party, unless such disclosure is necessary for the performance of the agreement, including the use of subcontractors, or is required by applicable law or by a public authority.
The confidentiality obligation shall not apply to information which:
- is or becomes publicly available without breach of this obligation;
- has been lawfully obtained from a third party without any obligation of confidentiality; or
- has been independently developed without use of the confidential information.
Where the parties have entered into a separate Non-Disclosure Agreement (NDA), such agreement shall prevail over this clause.
18. Governing Law and Jurisdiction
These General Terms and Conditions and any agreement between the parties shall be governed exclusively by the laws of Denmark.
Any dispute arising out of or in connection with these General Terms and Conditions or any agreement between the parties shall be subject to the exclusive jurisdiction of the courts of Aarhus, Denmark.
